Draft licence terms.

What we expect the licence to say, in plain words. Prices: A$1,500 a year per organisation, or A$15 per certificate issued, both including GST.

Draft. No lawyer has read these terms. They will be settled before any licence is offered for sale.

  1. What the licence is. A non-exclusive, non-transferable licence for one named organisation (the licensee) to use the course pack to run its own training and to issue its own certificates to its own participants. Non-exclusive means we can license the same pack to others.
  2. One organisation. The licence covers the one organisation named in it, including the presenters it employs or contracts to deliver for it. It does not cover other organisations, branches that are separate legal entities, or franchisees, unless they are named.
  3. No resale. The licensee must not sell, hire out, publish, post online or give the pack, or any part of it, to anyone outside the licensee. Participants may keep the handouts they are given for their own use.
  4. Delivery stays with the licensee. The licensee is the CPD provider. It provides the presenter and, for the Victorian property activity, makes sure the activity is delivered by or with an expert working in cyber security. We do not run live sessions, enrol participants, mark papers or issue certificates.
  5. The regulator decides, not us. We do not promise that the Business Licensing Authority, ASQA, the VRQA or any other body will accept, list or approve any activity or resource built from the pack. The licensee notifies the regulator itself and checks the live rules first. Option for the operator to decide: a refund of the unused part of the fee if the regulator tells the licensee in writing that the activity cannot be offered because of the content.
  6. Yearly updates. Each licence year includes one updated edition of the pack. The licensee must use the current edition for new sessions within 30 days of receiving it, and must tell the regulator about changes to its outline or activity where the rules ask for that.
  7. Fees. Either an annual organisation licence of A$1,500 including GST, or A$15 including GST for each certificate issued. The licensee chooses one when the licence starts. For the per-certificate option the licensee reports the number of certificates issued after each session and pays within 14 days of our invoice.
  8. Our content, your branding. We keep the copyright in the pack. The licensee may add its own logo, names, examples and contact details. For the Victorian activity the licensee must keep the coverage of the BLA outline unchanged (the BLA says a provider must follow the outline). An edited version must not be described as our course.
  9. Certificates. Certificates are issued by the licensee in its own name, with the fields the BLA lists. The licensee may, if it wishes, add a line saying the course content is licensed from Aptia Skills. Nothing we have read forbids this and nothing says the BLA wants it; it is off by default.
  10. The question bank. The assessment bank must be kept secure. It must not be shown to participants before the assessment, or published.
  11. Privacy. We receive no participant data. The certificate generator and the other files run on the licensee's own computer and send nothing to us. The licensee is responsible for the privacy of its attendance registers and results.
  12. Accuracy, and no legal advice. The content is written with AI from the official sources listed in the pack and checked word for word against them on the dates shown. Rules change. The licensee must check the live BLA and training.gov.au pages before relying on a rule. The pack is not legal advice. Nothing here removes rights the licensee has under the Australian Consumer Law.
  13. Learner resources for BSBXCS402. These are learner resources. The registered training organisation remains responsible for assessment, for the judgement of competence, and for meeting its obligations as an RTO. We do not issue the unit or any qualification or statement of attainment. Unit information from training.gov.au remains the Commonwealth's, shared under Creative Commons Attribution 4.0.
  14. Term and ending. One year from the start date, renewing only if both sides agree. Either side may end the licence if the other breaks it and does not fix the problem within 14 days. After the licence ends the licensee stops using the pack for new sessions. Certificates already issued stay valid.
  15. Law and disputes. [Governing law to be confirmed by the operator, likely Western Australia.] Liability is limited as far as the law allows. [A lawyer should settle this clause.]
